Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and DocMan Solutions, LLC, an Alabama limited liability company ("DocMan," "we," "us," or "our"), governing your ("You" or "Your") access to and use of the DocMan application for mortgage loan document management and lender submission, websites, and related services (collectively, the "Service") at docmansolutions.com. By creating an account, signing in, accessing, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

Not legal, compliance, or financial advice. DocMan is a workflow and document-organization tool for mortgage professionals. It helps you track which documents a loan needs and where they are — it does not provide legal, regulatory, compliance, underwriting, lending, or financial advice, and it does not determine whether a loan is compliant, complete, or approvable. You agree and acknowledge that You remain solely responsible for your lending decisions and for compliance with all applicable laws and investor/agency requirements.
DocMan does not store, maintain, or control your documents or sensitive information. All loan files and documents reside in your own Google Drive or Microsoft OneDrive and are never saved by DocMan. DocMan accesses and organizes those files within your Drive to provide the Service; it does not keep its own copy, maintains no long-term document database, and is not a system of record. You retain full ownership and control of your documents through Google or Microsoft at all times, and deleting a file in Google Drive or Microsoft OneDrive removes it from the Service. Accordingly, you agree and acknowledge that You maintain control over the files and documents in Your Google Drive or Microsoft OneDrive and that We have no obligation or responsibilities concerning the control, confidentiality or security of those files and documents.

1. The Service

DocMan provides a dashboard for organizing mortgage loan documents, including: creating and tracking required-document checklists per loan; creating and organizing folders in your Google Drive or Microsoft OneDrive; surfacing and filing loan-related Gmail or Outlook messages and attachments; sending loan-status and explanation emails on your behalf; optional AI-assisted extraction of suggested document requirements from lender guideline PDFs; and self-service portals for loan officers and borrowers accessed via time-limited single-use sign-in links. DocMan does not provide legal, regulatory, compliance, underwriting, lending, or financial advice, and it does not determine whether a loan is compliant, complete, or approvable.

2. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract. You must use a valid Google or Microsoft account to authenticate and grant the OAuth permissions the Service requires. (OAuth, short for Open Authorization, is an open standard protocol that allows a user to grant a third-party application limited access to their resources on another service, without sharing their password.) You are responsible for all activity under your account and for maintaining the confidentiality of your credentials and access. You must promptly notify us of any unauthorized use either using your DocMan account or your connected Google or Microsoft account or by any third party. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms. If these Terms are unacceptable, do not access or use the Services.

3. Subscriptions, billing & trials

Acknowledgment of Payment Information Privacy

You agree and acknowledge that We will not have access to any personal payment information or payment methods you provide. All payment details, including but not limited to credit card numbers, bank account information, and other financial data, are processed securely through third-party payment processors. We do not collect, store, view, or otherwise have access to your payment credentials at any time.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable License (the "License") to access and use the Service for your internal mortgage-processing business purposes. You agree not to:

You retain all ownership of the loan files, borrower information, and other content you provide or connect to the Service ("Customer Content"). Your loan files reside in your own Google Drive or Microsoft OneDrive; DocMan does not take ownership of them and has no obligations to You concerning the control, confidentiality or security of the Customer Content.

DocMan does not store, maintain, or control your documents or sensitive information. All documents are stored in your Google Drive or Microsoft OneDrive and are never saved by DocMan. DocMan reads and organizes those files within your Drive to provide the Service, keeps no persistent copy of them, maintains no long-term document database, and is not a system of record. Any working data on DocMan's servers is transient and rebuilt from your Google Drive or Microsoft OneDrive. You — and Google or Microsoft, per your account and organization settings — control retention and deletion of your documents at all times; deleting a file in Google Drive or Microsoft OneDrive removes it from the Service.

You grant us a limited license to access, transmit, process in transit, and display Customer Content, and to keep only a transient working cache of metadata, solely to provide, secure, and support the Service for you. We do not use Customer Content for any other purpose.

You represent and warrant that:

You are responsible for the accuracy of your loan configurations and for verifying that the documents and statuses the Service displays match your actual loan files and your investor/agency requirements.

6. Google, Microsoft & other third-party services

The Service integrates with Google Drive, Gmail, and Google OAuth; with Microsoft OneDrive, Outlook, and Microsoft Entra ID / Microsoft OAuth; with Anthropic for AI parsing; with Stripe for payments; and with hosting and support providers. Your use of those services is also governed by their respective terms and policies. We are not responsible for third-party services, their availability, or changes they make to their APIs. Your authorization of Google scopes is voluntary and revocable at myaccount.google.com/permissions, and your authorization of Microsoft scopes is voluntary and revocable at myaccount.microsoft.com/privacy/app-access; revoking will disable dependent features. You agree to be bound by the terms of service, license agreement or other applicable agreements required by third parties to access or use their applications.

7. AI features

The optional AI agent sends a lender guideline PDF you choose to Anthropic's Claude API and returns suggested document requirements. AI output may be incomplete, inaccurate, or not suitable for your specific loan, investor, or program. It is a starting point only — you must review and confirm all requirements yourself. Do not rely on AI output as a substitute for your own professional judgment or your compliance obligations.

8. Intellectual property

You do not acquire any ownership interest in the Services under these Terms, or any other rights other than to use the Services in accordance with the license granted under these Terms in Section 4. The Service, including its software, design, text, and branding (excluding Customer Content), is owned by DocMan and its licensors and is protected by intellectual-property laws. Feedback you submit may be used by us to improve the Service without obligation to you. You shall use commercially reasonable efforts to safeguard the Services from infringement, misappropriation, theft, misuse, or unauthorized access.

Each party may receive non-public information of the other. The receiving party will use such information only to perform under these Terms and will protect it with reasonable care. Customer Content is your confidential information; we will not access it except as described in the Privacy Policy or as needed to provide, secure, or support the Service.

You will defend, indemnify, and hold harmless DocMan and its officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Customer Content; (b) your use of the Service; (c) your violation of these Terms or applicable law; or (d) your failure to obtain required rights or consents for borrower or third-party data.

13. Suspension & termination

You may stop using the Service at any time and cancel your subscription as described at purchase. We may suspend or terminate access immediately for breach of these Terms, non-payment or invalid license, suspected abuse or security risk, or to comply with law. Upon termination, your license ends; your loan files remain in your Google Drive or Microsoft OneDrive under your control. Sections that by their nature should survive (including 5, 8–12, 15–16) survive termination.

14. Changes to the Service or Terms

We may modify, suspend, or discontinue features of the Service at any time. We may update these Terms by posting a revised version with a new "Last updated" date and, for material changes, providing additional notice. Your continued use of or access of the Service after changes take effect constitutes acceptance of the modified Terms.

15. Governing law & disputes

These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-laws rules. The exclusive venue for disputes will be the state or federal courts located in Madison County, Alabama, and you consent to personal jurisdiction there, except that either party may seek injunctive relief in any court of competent jurisdiction.

16. Miscellaneous

These Terms and the Privacy Policy are the entire agreement between You and DocMan regarding the Service and supersede prior agreements. If any provision is held unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Nothing creates a partnership, agency, or employment relationship between You and DocMan.
